GymCenter is a proprietary Gym Management System designed to help gyms and fitness centers manage memberships, attendance, billing, staff, and operational activities.

2. Eligibility

You must be at least 18 years old to use the Service. By using GymCenter, you represent and warrant that:

You have legal capacity to enter into a binding agreement.
You are using the Service for lawful business purposes.
All information provided is accurate and complete.

3. Account Registration

To use certain features, you may be required to create an account. You agree to:

Maintain the confidentiality of login credentials.
Accept responsibility for all activities under your account.
Notify us immediately of unauthorized access.

4. License and Use of Service

ONI Software LLC grants you a limited, non-exclusive, non-transferable license to use GymCenter for internal business operations.

5. Subscription and Payment

Subscription fees are payable in advance unless otherwise agreed.
Payments are non-refundable unless stated otherwise.
Failure to pay may result in suspension.
Pricing may change with prior notice.

Applicable UAE VAT may be added to subscription fees.

6. Data and Privacy

You retain ownership of your uploaded data ("Customer Data").

ONI Software LLC may host, store, and process Customer Data solely to provide the Service.

You are responsible for compliance with applicable data protection laws and obtaining proper consent from gym members.

7. Intellectual Property

All intellectual property rights in GymCenter, including software, branding, and content, remain the exclusive property of ONI Software LLC.

8. Service Availability

We strive for uninterrupted service but do not guarantee error-free availability. We may perform maintenance, updates, or suspend access for technical reasons.

9. Limitation of Liability

To the maximum extent permitted under UAE law:

We are not liable for indirect or consequential damages.
Total liability shall not exceed the amount paid in the 12 months preceding the claim.

The Service is provided "as is" and "as available".

10. Indemnification

You agree to indemnify and hold harmless ONI Software LLC from claims arising from misuse of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access for breach of Terms, non-payment, or legal requirements.

Upon termination, your right to use the Service ceases immediately.

12. Confidentiality

Both parties agree to keep confidential any non-public business or technical information shared during use of the Service.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

We may update these Terms at any time. Continued use of GymCenter constitutes acceptance of revised Terms.
